Navis acquires the assets of Biarri Rail to expand its global cargo supply chain offering

Clarendon Lawyers is pleased to have advised Navis LLC (Navis) on its acquisition of the assets of Biarri Rail Holdings Pty Ltd and Biarri Rail Pty Ltd (Biarri Rail).  The parties entered into a binding agreement at the end of February, with completion of the purchase occurring on 20 March 2020.

Navis, a part of Cargotec Corporation (HEL:CGCBV), is a market leading provider of technologies and services to the maritime, inter-model rail and transportation and logistics industries, which optimise performance and efficiency in the management and movement of cargo through terminals. Biarri Rail, operating out of Melbourne and Chicago, is a global provider of planning and scheduling optimisation software for freight railroads, which enables freight railway operators to better manage the complexities of train services, locomotives, yards, railcars, crews and train paths.

The acquisition of Biarri’s cargo supply chain assets strategically complement Navis’ existing terminal and carrier/vessel solutions and will enable Navis to expand its product offering to inland rail solutions.

The Clarendons team was led by Managing Director, Tony Symons and Senior Associate, Brendan Sheehan, who were assisted by Associate, Dean Beaumont and Lawyer, Ayesha Singh.

Mr Symons congratulated Navis on the acquisition: “We were thrilled to assist Navis with its acquisition of the Biarri Rail business. The addition of inland rail solutions to Navis’ existing product offering is an important part of Navis’ strategy for the broader cargo supply chain sector. The transaction marks an exciting opportunity for Navis to expand its business and we look forward to seeing the broader Navis business continue to grow.”

“We are seeing strong cross-border M&A activity so far this year.”

Squire Patton Boggs acted as legal adviser to Biarri.
